Terms of Service
Last updated: October 30, 2026 · Effective: October 30, 2026
1. Introduction and acceptance of terms
These Terms of Service (the "Agreement") govern your access to and use of VouchUp.me ("VouchUp"), including the website and app at vouchup.me and related services (collectively, the "Service"). VouchUp is a product of Tabillo Inc., a corporation incorporated under the laws of Ontario, Canada ("Tabillo," "we," "us," or "our").
By creating an account or using the Service, you ("you" or "your") agree to this Agreement. Our Privacy Policy explains how we handle personal information. If you do not agree to these Terms, please do not use the Service.
2. Definitions
- Member: anyone with a VouchUp account.
- Visitor: anyone who views the Service without signing in.
- Profile: a member's page at vouchup.me/their-link, with its focus areas, proof of work, posts, milestones and other sections.
- Your Content: anything you add to the Service, including your profile, messages, connection requests and the contacts you import.
- Tabillo Content: the Service itself, its code, design, text, graphics, logos, trademarks and documentation.
- Third-Party Services: external services used to run the Service, including Vercel, Neon, Resend and Google.
3. Eligibility and your account
You must be at least 18 years old to create an account. By creating one, you confirm that:
- You are at least 18 years old and able to enter into this Agreement;
- You are a real person, creating one account for yourself (one person, one profile);
- The information you provide is accurate and kept up to date; and
- You will keep access to your email and Google account secure, and tell us at once at support@tabillo.com if you believe someone else has signed in to your account.
You are responsible for what happens under your account. Creating more than one account, creating a profile for someone else, impersonating anyone, or giving false information is not allowed and may lead to your account being closed.
4. Your profile and your content
You own your content
You keep ownership of Your Content. You give Tabillo a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, display and share Your Content only as needed to run and improve the Service, and as you choose in your settings: for example, to show your published profile on the web and in VouchUp search, to let search engines and AI assistants read it when you allow that, to create a preview image when someone shares a link to your profile, and to deliver your messages. This licence ends when you delete the content or your account, except for messages you already sent and copies that others (such as search engines) already made.
What you publish
You are responsible for Your Content, and you confirm that you have the right to share it. In particular:
- Only list work as yours ("Mine") if you made it or played the part you describe;
- Credit work and posts by others to their authors, as the Service does with "By others", "About me" and "Reshare";
- Don't post content that is unlawful, misleading, defamatory, harassing or that infringes anyone's rights;
- Only import contacts you are allowed to share with us. We store them privately for you, never show them to others and never contact them (see the Privacy Policy).
We may remove content or limit a profile that breaks these Terms. We don't check everything members publish, and we are not responsible for what members say about themselves or others.
5. Licence to use the Service
Subject to this Agreement, Tabillo gives you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own professional and personal purposes. You may not, directly or indirectly:
- Copy, resell, sublicense or redistribute the Service or any part of it;
- Reverse engineer, decompile, disassemble or attempt to derive the source code of the Service;
- Build or help build a product or service that competes with the Service using Tabillo Content or members' data;
- Circumvent, disable or interfere with any security, access control or technical limit of the Service (such as limits on requests);
- Use bots, scrapers or other automated tools to access the Service or collect members' information without our prior written permission. Search engines may index public profiles as allowed by our robots.txt and members' settings.
All rights not expressly granted in this Agreement are reserved by Tabillo.
6. Fees
The Service is free. If we introduce paid features in the future, we will tell you in advance, and they will come with their own terms; nothing will be charged without your explicit agreement.
7. Connections, messages and blocking
Members can ask to connect, and message the people they are connected to. Please use these for genuine professional reasons. We may limit how many requests a member can send, and we may restrict accounts that send unwanted requests or messages. You can block any member at any time; blocking hides you from each other and ends your connection.
8. Third-party services
The Service relies on Third-Party Services, including Vercel (hosting), Neon (database, sign-in and photo storage), Resend (email) and Google (analytics, and sign in with Google). They operate under their own terms and privacy policies, and Tabillo is not responsible for their availability or conduct. Profiles link to other websites; we are not responsible for their content.
9. Service availability and support
Availability
VouchUp is under active development. We aim to keep it available but do not guarantee uninterrupted or error-free access. Maintenance, updates and events outside our control may cause interruptions, and we may change, add or remove features.
Support
Support is provided by email at support@tabillo.com during business hours: Monday to Friday, 9:00 AM to 5:00 PM Eastern Time, excluding Canadian public holidays. We make best efforts to respond within 24 to 48 business hours; response times are not guaranteed.
Emails
We send emails the Service needs, such as sign-in codes and confirming a change of email. Notification emails (such as connection requests, replies and the weekly summary) can be turned on or off in Settings → Notifications. Tabillo complies with Canada's Anti-Spam Legislation (CASL, S.C. 2010, c. 23).
10. Acceptable use
You agree not to use the Service to:
- Violate any law, regulation or anyone's rights;
- Upload or send content that is unlawful, harmful, abusive, harassing, defamatory, obscene or otherwise objectionable;
- Impersonate any person or organization, or misrepresent your work, role or affiliation;
- Send spam, bulk or unsolicited messages or connection requests;
- Collect other members' information for purposes they haven't agreed to;
- Attempt to gain unauthorized access to any part of the Service or its systems;
- Interfere with or disrupt the integrity, performance or availability of the Service, or introduce viruses or other harmful code.
We may investigate suspected violations and suspend or close accounts that break this policy. Where reasonable, we will tell you why and give you a chance to respond.
11. Intellectual property
The Service and all Tabillo Content are the exclusive property of Tabillo Inc. and are protected by Canadian and international intellectual property laws. This Agreement does not transfer any ownership rights to you. If you send us feedback or ideas about the Service, you give Tabillo a perpetual, irrevocable, royalty-free licence to use them for any purpose, without obligation to you.
12. Warranties and disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, Tabillo disclaims all warranties, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be error-free, uninterrupted, secure or free from data loss, or that what members publish about themselves is accurate.
13. Limitation of liability
To the maximum extent permitted by law, Tabillo's total liability to you for all claims arising from or related to this Agreement or the Service is limited to CAD $100. Tabillo is not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including loss of profits, data, goodwill or business opportunities.
Nothing in this Agreement limits or excludes liability that cannot be limited or excluded by law, such as liability for fraud, for gross negligence or wilful misconduct, or for death or personal injury caused by negligence, and nothing affects the rights you have as a consumer under mandatory law where you live.
14. Termination and suspension
By you
You can stop using the Service at any time, and delete your account in Settings → Delete account. Deletion takes effect at once, as described in our Privacy Policy. You can download a copy of your data first in Settings → Download my data.
By Tabillo
We may suspend or close your account if:
- You breach this Agreement;
- Your use of the Service creates security, legal or reputational risk for Tabillo or other members; or
- We are required to do so by law or a competent authority.
We may also stop offering the Service; if we do, we will give you reasonable notice so you can download your data. When your account is closed, your right to use the Service ends.
15. Changes to these Terms
We may change this Agreement. For material changes, we will give at least 30 days' notice by email or in the app before they take effect. Clarifications and corrections may take effect when posted. If you don't agree to the changes, you can delete your account before they take effect; continuing to use the Service afterwards means you accept them.
16. Disputes and governing law
Governing law
This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict of law principles.
Good faith resolution first
Before starting any formal process, please contact us at support@tabillo.com with a clear, written description of your concern, and give us at least 30 days to review and respond in good faith. Many issues can be resolved this way.
Arbitration
If a dispute can't be resolved that way, it will be finally resolved by binding arbitration in Toronto, Ontario, Canada, in English, under rules agreed by the parties or, failing agreement, the rules of a recognized Canadian arbitration body. Either party may seek urgent injunctive relief from a court to prevent immediate and irreparable harm. This section does not take away any right you have, as a consumer, to bring a claim in the courts where you live, and does not apply where the law where you live does not allow it.
EU and UK: not yet launched
VouchUp.me is still under development and has not officially launched in the European Union, the European Economic Area, the United Kingdom or Switzerland. We don't market the Service there yet. If you use it from there:
- You keep every right that the consumer protection law of the country where you live gives you, and which can't be waived by agreement. If anything in these Terms conflicts with those rights, those rights apply.
- You may bring a claim in the courts of the country where you live, instead of in arbitration. The choice of Ontario law does not deprive you of the protection of mandatory provisions of your local law.
- How we handle your personal information under the GDPR and UK GDPR, and your rights, are set out in the Privacy Policy.
17. General provisions
Entire agreement
This Agreement, together with the Privacy Policy, is the entire agreement between you and Tabillo about the Service.
Assignment
You may not transfer your rights or obligations under this Agreement without our written consent. Tabillo may assign this Agreement to an affiliate or in connection with a merger, acquisition or sale of assets, with notice to you.
Force majeure
Tabillo is not liable for any failure or delay caused by circumstances beyond our reasonable control, including natural disasters, internet or telecommunications outages, labour disputes, pandemics or governmental action.
Severability
If any provision of this Agreement is found unenforceable, it will be limited or removed to the minimum extent necessary, and the rest stays in effect.
No waiver
If we don't enforce a right or provision of this Agreement, that is not a waiver of it.
Notices
Legal notices to Tabillo must be sent in writing to support@tabillo.com or by mail to the address below. Notices to you are sent to the email on your account.
